AGREEMENT TO OUR TERMS OF USE

Identification of FENAVIAN. We are FENAVIAN VZW (‘FENAVIAN, ‘we’, ‘us’, or ‘our’), a Belgian non-profit association. We are registered in Belgium at Spoorwegstraat 24, Dilbeek 1702. Our company number is 0409.577.550. We are active as the Belgian Federation of the Processing Industry of Meat, other proteins and Ready Meals. FENAVIAN manages the platform "Workable Method" (the ‘Platform’).

Applicability of Terms. These Terms of Use (‘TOU’) apply to the use of The Workable Method Platform and all related services provided by FENAVIAN.

Legally Binding Agreement. By accessing and using the Platform, your organization enters into a legally binding agreement with FENAVIAN in accordance with these TOU

Acceptance of Terms. Use of the platform automatically and unconditionally constitutes agreement to all provisions of these TOU. If you do not agree to these TOU, you must not use the Platform.

Organizational Binding. This agreement is entered into between FENAVIAN and the organization obtaining the license, with the organization being responsible for all actions of its users on the platform.

Entire Agreement. These TOU constitute the entire agreement between FENAVIAN and your organization regarding the use of the Platform.

We recommend that you print a copy of these TOU for your records.

BACKGROUND AND PURPOSE OF THE PLATFORM

Purpose. The Platform is specifically designed to support Belgian members of FENAVIAN in interpreting the Voluntary Reporting Standard for SMEs (“VSME”) established by EFRAG through an interactive tool where users can provide input and subsequently generate downloadable reports in CSV or PDF format. The Platform serves as a guide and tool to help organizations interpret the VSME and report on it as accurately as possible within their organization.

Guidance Tool. The Platform is intended as a handbook and assistance tool to facilitate proper understanding and implementation of the VSME, enabling organizations to fulfill their reporting obligations with greater accuracy and confidence.

Legal Basis. In developing and launching the Platform, only the European and Belgian legislation in force at that time was taken into account. The Platform is based on the legal situation as it existed at the time of launch.

Use from other countries. If you use the Platform from a country other than Belgium, you are solely and fully responsible for assessing whether and how the generated reports and interpretations are compatible with the local legislation of your jurisdiction.

No guarantee of timeliness. FENAVIAN provides no guarantee that the content of the Platform will be current at all times or will be updated to reflect changes in legislation after launch.

LICENSE GRANT

License. Your organization is hereby granted a non-exclusive, non-transferable license to use "The Workable Method" Platform in accordance with these TOU.

Eligibility. A license may only be obtained by organizations that possess a valid company registration number.

User Structure. Each license includes one (1) administrator user and access for a maximum of fourteen (14) other users in total from the same organization. All users must be employees or authorized representatives of the licensed organization.

Administrator Rights. The administrator user has the authority to manage user access, assign permissions, and oversee the organization's use of the Platform within the licensed framework.

Capacity Limitations. FENAVIAN reserves the right to refuse granting licenses to new organizations if the maximum Platform capacity has been reached. FENAVIAN will determine capacity limitations at its sole discretion based on technical, operational, or other considerations.

Limitation of Rights. This license does not grant you ownership rights to the Platform nor to any element thereof and may not be transferred, sublicensed, or otherwise made available to third parties outside your organization.

REPORT GENERATION AND USER RESPONSIBILITY

Workable Method. The Platform offers a "workable method" whereby users can generate structured reports based on their input to support their organizational processes and decision-making.

Report Output. Users can generate reports in CSV or PDF format based on the data they have entered. These reports serve as a tool and support for the user.

User Responsibility for Input. Users are fully responsible for the accuracy, completeness, and suitability of all information they enter into the Platform. This includes all data, responses, calculations and specifications used for generating reports.

Responsibility for Report Content. Users are solely responsible for the content of the generated reports and for all decisions they make based on these reports within their organization.

Exclusion of Liability. FENAVIAN cannot be held responsible for any damage, loss, or consequences arising from incorrect, incomplete, or inaccurate information entered by users into the Platform, nor for the resulting reports or decisions.

Verification Obligation. Users are encouraged to carefully review all generated reports and seek professional advice where necessary before using them for organizational purposes.

EXTERNAL LINKS AND WEBSITES

Links to External Websites. The Platform may contain links to external websites, resources, or information that are not owned or controlled by FENAVIAN. These links are provided solely for the convenience of users.

No Control over External Content. FENAVIAN has no control over the content, privacy policies, or practices of external websites and cannot control or monitor them.

Exclusion of Responsibility. FENAVIAN is not responsible for:

  • The accuracy, completeness, or currency of information on external websites
  • The availability or functionality of external websites
  • Any damage or loss caused by the use of external websites
  • The privacy policies or data processing practices of external websites

Use at Own Risk. Visiting external websites via links in the Platform is entirely at the user's own risk. Users are encouraged to read the terms and privacy policies of external websites before using them.

MULTILINGUAL SUPPORT AND TRANSLATIONS

Available Languages. The Platform is offered in multiple languages to accommodate users.

Reference Language. The English version of the Platform and all accompanying documentation serve as the official reference version. In case of contradictions or ambiguities between different language versions, the English version shall prevail.

Exclusion of Liability for Translations. FENAVIAN cannot be held responsible for:

  • Any inaccuracies, incompleteness, or errors in translations
  • Misunderstandings or misinterpretations arising from translated content
  • Damage, loss, or consequences arising from the use of translated versions of the Platform
  • Differences in meaning between the original English version and translated versions

User Responsibility. Users who use the Platform in a language other than English do so at their own risk and are encouraged to consult the English version when in doubt for the most accurate information.

Automatic Translation. Certain translations may be generated by automatic translation systems. FENAVIAN provides no guarantee regarding the quality or accuracy of such automatic translations.

ANNUAL ACCESS FEE

Payment and Access. Upon payment of the one-time annual fee (in EUR), you will gain access to the Platform for a period of three hundred sixty-five (365) days from the date of activation of your account.

Currency. All fees and charges are denominated and payable in Euro (EUR) only.

No Refunds. The paid fee is final and non-refundable, regardless of the reason for termination or actual usage of the Platform during the access period.

Renewal Notification. Thirty (30) days prior to the expiration of your annual access period, you will receive a notification regarding the automatic renewal of your access.

Automatic Renewal. Your access to the Platform will be automatically renewed for a new period of 365 days, unless you explicitly indicate in writing within the notification period of 30 days that you do not wish to renew. Upon automatic renewal, you will receive an invoice for the then-applicable annual fee (in EUR).

Termination of Service. You may prevent automatic renewal by explicitly indicating within thirty (30) days after receipt of the renewal notification that you do not wish to renew.

Payment Obligation. Upon automatic renewal, you are obligated to pay the invoiced annual fee in Euro (EUR) according to the stated payment terms.

Fee Changes. We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law. Any price change may only be applicable upon renewal of the license.

PROHIBITION ON COPYING AND COMMERCIALIZATION

No Copying. You are expressly prohibited from copying, reproducing, duplicating, downloading, or otherwise capturing any content, data, information, materials, software, or other elements available through the Platform.

Prohibition on Commercialization. You may not use content, information, or materials obtained through the Platform for commercial purposes, including but not limited to:

  • Selling, renting, or licensing the content to third parties
  • Creating derivative works for commercial exploitation
  • Integrating the content into your own commercial products or services
  • Offering competing services based on the obtained content

Exception for Generated Reports. Notwithstanding the above, all reports, documents, analyses, or other output that you generate through use of the Platform remain your property. You have the full right to use, modify, distribute, and commercialize these generated reports for your own business or personal purposes.

Intellectual Property Rights. All content on the Platform remains the property of the rightful owners and is protected by copyright, trademark, and other intellectual property rights.

Consequences of Violation. Violation of these provisions may result in immediate termination of your access to the Platform and may lead to legal action, including claims for damages and obtaining injunctive relief.

PLATFORM UPDATES

Update Frequency. We will perform updates to the Platform approximately one to two times per year to improve functionality, security, and user experience.

Scheduled Maintenance. All Platform updates will be scheduled and executed during weekends to minimize disruption to regular business operations and user access.

Legislative Review. During each update cycle, FENAVIAN will review whether there have been changes in European or Belgian legislation that need to be incorporated into the Platform. Any relevant regulatory updates will be integrated into the Platform's content and functionality as deemed appropriate by FENAVIAN. While FENAVIAN will make every effort to correctly incorporate all relevant European and Belgian legislation, FENAVIAN cannot accept liability for any omissions, inaccuracies, or delays in implementing legislative changes.

System Backups. FENAVIAN will perform daily backups of all user input data "as is" and any generated reports stored on the Platform. These backups are maintained for system recovery purposes and data integrity.

Backup Limitations. While FENAVIAN maintains regular system backups, users remain solely responsible for maintaining their own copies of important data. FENAVIAN does not guarantee the ability to recover specific user data in all circumstances and is not liable for any data loss.

Advance Notice. Scheduled maintenance and updates will be announced to the administrator user of each organization at least two (2) weeks in advance, except in cases of force majeure or urgent matters requiring immediate attention. Users will receive notification of the expected duration of any service interruption.

Emergency Maintenance. In cases of urgent security issues, critical system failures, or other circumstances beyond FENAVIAN's control, maintenance may be performed with shorter notice or without prior notification to ensure the Platform’s security and stability.

Service Availability. While FENAVIAN strives to minimize downtime during updates, temporary unavailability of the Platform may occur during the update process. FENAVIAN is not liable for any inconvenience or business impact resulting from scheduled maintenance periods.

No Guarantee of Specific Features. FENAVIAN reserves the right to modify, add, or remove features during updates at its sole discretion. Updates may include bug fixes, security enhancements, or new functionality without prior consultation with users.

Data Backup Recommendation. Users of the Platform are strongly advised to regularly download and backup all input data, reports, and other content they have entered into the Platform. FENAVIAN recommends creating regular backups to ensure continuity of your data and to prevent potential loss during updates or maintenance periods.

DATA USE FOR SECTOR REPORTING

Anonymized Sector Analysis. FENAVIAN will create anonymized reports based on information entered by users from various organizations into the Platform, which can be used for analysis and insights at the sector level.

Irrevocable Consent. By using the Platform, you irrevocably and unconditionally consent to FENAVIAN's use of your entered data for the preparation of this anonymized sector reporting.

Anonymization. All data used for sector reporting will be fully anonymized. This process entails that (i) individual organizations or users cannot be identified from the resulting reports and (ii) personal data are permanently removed or altered in such a way that individuals can no longer be identified, either directly or indirectly, even when combined with other available information.

Purpose of Use. The anonymized data will be used exclusively for:

  • Preparing sector overviews and trends
  • Improving services to FENAVIAN members
  • Developing best practices within the sector
  • Benchmarking organizations
  • Measuring how FENAVIAN members / organizations evolve regarding their sustainability efforts
  • Monitor sustainability efforts in general

No Withdrawal. This consent cannot be withdrawn as long as you use the Platform. Upon termination of your access to the Platform, FENAVIAN remains entitled to use already collected anonymized data for the aforementioned purposes.

DISCLAIMER OF WARRANTIES AND LIMITATIONS

Notwithstanding any provision to the contrary in these TOU, or in any other document or communication from FENAVIAN, the following provisions will always apply:

"As Is" and "As Available" Basis. The Platform is provided on an "as-is" and "as available" basis and may include errors, omissions, or other inaccuracies.

Disclaimer of Warranties. FENAVIAN expressly disclaims all warranties, express or implied, including, without limitation, any warranty of merchantability, fitness for a particular purpose, or non-infringement. FENAVIAN also disclaims any responsibility for the content, the materials, the accuracy of the information, and/or the quality of the information or services provided by or available through the Platform, including, without limitation, access to or use of any third-party content or sites.

General Information Only. You acknowledge that the information on the Platform is provided as general information only and is not intended as professional advice. Users should seek appropriate professional guidance before making decisions based on information obtained through the Platform.

User Responsibility. You are solely responsible for all input, data, responses, and submissions you provide through the platform. You acknowledge that your use of the Platform and any decisions made based on the information or results obtained are at your own risk and discretion.

No Liability for User Content or Interpretations. FENAVIAN expressly disclaims all responsibility and liability for any user submissions, interpretations, or conclusions drawn from the use of the Platform. FENAVIAN shall not be held responsible for any errors, misinterpretations, or consequences arising from user input or the user's reliance on platform-generated results.

TRANSFER OF PLATFORM OPERATION

Current Operator. The Platform is currently operated by FENAVIAN in accordance with these TOU.

Right to Transfer. FENAVIAN reserves the right to transfer the operation of the Platform to an affiliated Belgian organization or in the course of a transfer under a regime of legal continuity (e.g. legal merger, legal demerger, etc.), without prior consent from users.

Succession of Rights and Obligations. Upon transfer of platform operation, the new operator automatically assumes all rights and obligations of FENAVIAN as set forth in these TOU and all existing license agreements.

Continuity of Service. The transfer does not affect the validity of existing licenses or the continuity of service provision. All user rights and obligations remain unchanged and in full effect.

Notification. Users will be notified via the administrator user of any transfer of platform operation, including disclosure of the identity of the new operator.

No Right of Termination. A transfer of platform operation does not give users the right to terminate their license or claim refunds, provided the new operator fulfills all obligations under these terms.

PRIVACY POLICY

We care about data privacy and security.

By using the Platform you agree to be bound by our Privacy Policy which is incorporated into these TOU. Please be advised that the Platform is hosted in Belgium. If you access the Platform from any other region of the world with laws or other requirements governing personal data collection, use or disclosure that differ from applicable laws in Belgium, then through your continued use of the Platform you are transferring your data to Belgium and you expressly consent to have your data transferred to and processed in Belgium.

The server on which the Platform operates will always be located in the EEA.

GOVERNING LAW AND JURISDICTION

Governing Law. These terms of use and all disputes arising from or relating to the use of the Platform shall be exclusively governed by and interpreted in accordance with Belgian law.

Competent Court. All disputes, disagreements, or claims arising from or relating to TOU or the use of the Platform shall be exclusively submitted to and decided by the competent courts of Antwerp (Antwerp division), Belgium.

Exclusion of Other Legal Systems. The application of the Vienna Convention on Contracts for the International Sale of Goods (United Nations Convention on Contracts for the International Sale of Goods) is expressly excluded.
